Official Rules for the Vaisala Open Weather Data Challenge
For the purposes of these Rules:
“Challenge” means Vaisala Open Weather Data Challenge;
“Challenge Website” means the website at www.vaisala.com/weatherchallenge;
“Committee” means a committee consisting of Vaisala’s experts;
“Participant” means a private person, a group of private persons or a company who submits the Proposal for the Challenge;
“Proposal” means the proposal submitted by the Participant for the Challenge;
“Rules” means these official rules for Vaisala Open Weather Data Challenge;
“Vaisala” means Vaisala Oyj or any of its group companies; and
“Winner” means the Participant selected as the winner of the Challenge by the Committee.
Submission of the Proposal for the Challenge constitutes a binding agreement on these Rules between the Participant and Vaisala.
In order to qualify for the Challenge, the Participant must be a private person, a group of private persons or a company. However, any of Vaisala’s employees, or any member of their immediate family, are not qualified to participate in the Challenge.
If the Participant is a private person or a group of private persons, the Participant must not utilize any resources of any employer for the creation of the Proposal, and each person forming the Participant must have reached the age of eighteen (18) at the time of the submission of the Proposal.
Vaisala reserves the right to disqualify any Participant whose conduct or Proposal Vaisala deems to be non-compliant with these Rules, the requirements of the Challenge, or any applicable law.
Participant must not participate in the Challenge, if the participation is prohibited in the jurisdiction of the Participant.
3 Participation; Evaluation; Award
Proposal must comply with these Rules and be submitted in accordance with the process, criteria and timeline specified on the Challenge Website. Vaisala is not responsible for any consequences of an outage or unavailability of the Challenge Website.
Each qualified Proposal is reviewed and evaluated by the Committee. The Participant whose Proposal the Committee, in its sole evaluation, deems to be the best is selected as the Winner.
Vaisala announces the Winner on March 31, 2016. Winner will be awarded EUR 20,000 (twenty thousand) and acknowledged publicly as the Winner of the Challenge. If the Winner is a group of private persons, the award will be divided in equal proportions between each person forming the Winner.
The primary representative of the Winner will be invited to attend an event at one of Vaisala’s offices. Vaisala will, in accordance with Vaisala’s policies, pay the travel and accommodation costs of the primary representative of the Winner in connection with their attendance of the said event.
Winner will be disqualified if the Winner fails to respond to Vaisala’s reasonable attempts to contact the Winner.
4 Modification; Cancellation
Vaisala reserves the right to, at its sole discretion, modify or cancel the Challenge at any time, if the preconditions for the proper operation of the Challenge are jeopardized due to reasons not attributable to Vaisala.
It is the Participant’s responsibility to regularly check the Challenge Website for any modification or cancellation of the Challenge.
Participant represents and warrants that: (i) the Proposal is an original unpublished work; (ii) the Proposal does not infringe any applicable law or any third party intellectual property right; and (iii) the Participant is the owner of the Proposal and has the right to submit it to the Challenge.
6 Intellectual Property Rights
Participant retains the ownership of all intellectual property rights in and to its Proposal. By submitting the Proposal, the Participant grants Vaisala (i) the right to review and evaluate the Proposal for the purposes of the Challenge, and (ii) the right of first refusal to enter into a business transaction with respect to the Proposal.
Participant agrees to indemnify Vaisala from and against any claim by a third party that the Proposal of the Participant infringes any third party intellectual property right.
All amounts payable as an award are gross amounts. From any amount payable as an award, Vaisala is entitled to withhold any applicable taxes, such as withholding tax. Payment by Vaisala of any amount as an award is conditional upon the Winner and/or each person forming the Winner submitting to Vaisala any and all documentation required by Vaisala in order for Vaisala to comply with all applicable tax reporting and withholding requirements.
Winner and/or each person forming the Winner is responsible for all personal or company taxes imposed on the award, such as income tax. Winner and/or each person forming the Winner shall comply with all applicable tax laws and requirements.
8 Personal Data
By submitting the Proposal, each person forming the Participant consents to Vaisala publishing their name, photographs, interviews and Proposal for the purposes of internal and external communications related to the Challenge.
Vaisala shall under no circumstances be liable to the Participant for any loss or damage arising out of or in connection with these Rules or the Participant’s participation in the Challenge.
Except as expressly otherwise provided in these Rules, Vaisala does not compensate the Participant for any costs or expenses incurred by the Participant in connection with the Participant’s participation in the Challenge.
10 Applicable Law
These Rules shall be governed by the laws of Finland, without regard to its conflict of laws rules. If the Participant and Vaisala are unable to resolve any dispute arising out of or in connection with these Rules through negotiations, the dispute shall be resolved by the District Court of Vantaa, Finland.
